I have a hunch that the only patents that would really be an
issue are the ones
you don't know exist and any ones on the file format they are
saved in.
If there are any such patents, those companies
have had years in which to sue both the developers and users of the software
that can read/write/edit their precious file formats. AFAIK, they haven't even
threatened to sue either developers, or users, for any alleged infringements of
their non-patents.

The biggest issue is not the cost of creating
the clone, but the cost of marketing of the clone. How do you reach a market
when you have zero dollars, zero cents, and zero mills to allocate to marketing?
(Mills are still legal tender in the United States.)
The really ironic
thing, is that regardless of whether one uses a FLOSS solution, or a proprietary
solution, for software accounting, one needs to have a CPA setup the books, so
that the results conform to the local rules and regulations related to
